These Terms and Conditions govern your use of the Van Son Consulting website and the engagement of our business consulting services. By accessing our site or entering into a service agreement with us, you agree to the terms set out below. Please read them carefully.

1. Definitions

• "Company," "we," "us," or "our" refers to Van Son Consulting, operating from 152 Nguyen Van Linh Street, Hai Chau, Da Nang 550000, Vietnam.
• "Service" refers to any business consulting offering made available by the Company, including Founder Coaching Sessions, Cross-Functional Workflow Redesign, and the Annual Strategic Review Retainer.
• "Client" or "you" refers to any individual or organisation that engages our services or accesses our website.
• "Agreement" means these Terms together with any signed engagement letter or service proposal.
• "Content" means all materials, documents, reports, frameworks, and deliverables produced in connection with a service engagement.
• "Website" refers to the site hosted at vansonqke.club.

2. Acceptance of Terms

By using our website or proceeding with any consulting engagement, you confirm that:

• You are at least 18 years of age or have the authority to bind an organisation to these terms
• You have read and understood these Terms and Conditions
• You have the legal capacity to enter into a binding agreement

If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

3. Service Description

Van Son Consulting provides professional advisory services to founders and organisations operating in Vietnam and across the region. Our current service offerings include:

• Founder Coaching Sessions — six 90-minute one-on-one sessions over a three-month period, with email support between meetings
• Cross-Functional Workflow Redesign — a structured three-to-four-week engagement covering process mapping, workflow design, simulation testing, and a staff training guide
• Annual Strategic Review Retainer — a twelve-month advisory relationship with quarterly reviews, monthly check-in calls, and on-demand access

Detailed descriptions, scope, and deliverables for each service are agreed in writing before work commences. We reserve the right to adjust service availability, format, or pricing with reasonable notice.

4. Engagement Process

An engagement begins once both parties have agreed on scope, timeline, and fees in writing (email confirmation or signed proposal). Work does not commence until this agreement is in place and the agreed deposit or first instalment has been received.

• Initial enquiries do not create a binding obligation on either party
• We may decline to proceed with an engagement at our discretion, in which case any fees paid for uncommenced work will be refunded
• Scope changes mid-engagement require written agreement from both parties

5. Your Responsibilities

To allow us to work effectively, you agree to:

• Provide accurate, complete, and timely information relevant to the engagement
• Respond to requests for input or clarification within the agreed timeframes
• Ensure relevant team members are available for scheduled sessions or workshops
• Use our website and communications in a respectful and lawful manner
• Not use information shared with you through our services for any unlawful purpose
• Not reproduce, redistribute, or resell deliverables without prior written consent

6. Intellectual Property

All frameworks, methodologies, tools, and general approaches used or developed by Van Son Consulting remain our intellectual property unless explicitly transferred in writing.

Deliverables created specifically for your engagement — such as workflow maps, strategic documents, or training guides — are licensed to you for your internal use once all fees have been settled in full. This licence is non-transferable and does not include resale or sub-licensing rights.

Website content, design, and branding remain the property of Van Son Consulting and may not be reproduced without permission.

7. Payment Terms

• Fees are quoted in Vietnamese Dong (VND) and are due as specified in the engagement proposal
• Coaching packages require 50% payment before the first session; the remaining 50% is due before the fourth session
• Workflow redesign engagements are invoiced in two equal instalments: one at commencement and one upon delivery
• Annual retainers are invoiced quarterly in advance
• Invoices are due within 14 calendar days of issue unless otherwise agreed
• Late payments may incur a reasonable administrative charge after 30 days

All payments are non-refundable for work already delivered. Where an engagement is cancelled before work has commenced, fees paid will be refunded less any reasonable administrative costs.

8. Confidentiality

Both parties acknowledge that they may share sensitive business information during an engagement. Each party agrees to:

• Keep the other party's confidential information strictly private
• Use it only for the purposes of the engagement
• Not disclose it to any third party without prior written consent, except where required by law

This obligation continues for three years after the conclusion of the engagement. It does not apply to information that is already publicly known or independently developed.

9. Disclaimers

Our services are provided in good faith based on the information you share and the conditions at the time of engagement. We do not make specific representations about outcomes, revenue growth, or business performance.

• Advisory services are based on professional judgement and experience, not a formula
• Results depend on your organisation's context, team capacity, and decisions made independently
• Our services do not constitute legal, financial, or regulatory advice
• Website content is provided for informational purposes only

10. Limitation of Liability

To the extent permitted by Vietnamese law, Van Son Consulting's total liability for any claim arising from a service engagement is limited to the fees paid for that specific engagement.

We are not liable for indirect, consequential, or incidental damages, including loss of revenue, business opportunity, or data. This limitation does not apply in cases of gross negligence or wilful misconduct.

11. Termination

Either party may terminate an engagement by providing 30 days' written notice. In the event of termination:

• Fees for work completed to date are due and payable
• Fees for work not yet commenced will be refunded if already paid
• Confidentiality obligations remain in effect as described in Section 8
• Deliverables for completed phases are released upon settlement of outstanding fees

We reserve the right to terminate immediately in cases of material breach, non-payment, or conduct that is unlawful or harmful to our team.

12. Dispute Resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam. In the event of a dispute, both parties agree to attempt resolution through direct communication first. If a resolution cannot be reached within 30 days of written notice, the matter may be referred to a mediator mutually agreed upon by both parties.

If mediation does not resolve the matter, disputes will be submitted to the competent court in Da Nang, Vietnam.

13. General Provisions

• Entire Agreement: These Terms, together with any signed engagement proposal, constitute the full agreement between the parties
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect
• No waiver: Failing to enforce a provision on one occasion does not waive the right to enforce it in the future
• Assignment: You may not assign your rights or obligations to a third party without our written consent
• Notices: Formal communications should be sent by email to [email protected] or in writing to our registered address

14. Changes to These Terms

We may update these Terms from time to time. When we do, we revise the "Last Updated" date above. Material changes will be noted on the website and, where applicable, communicated directly to active clients. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
